Terms of Service

1. Purpose

These Terms of Service ("Terms") govern the use of the NFC smart business card, digital profile builder, subscription, AI credits, and related services (collectively, the "Service") provided by Verthi ("Company", "we", "us").

2. Definitions

1. "Service" refers to all features including NFC digital business cards, profile management, Bento widgets, social integrations, AI image generation, subscriptions (Pro/Team), and credit purchases.
2. "User" refers to any individual who uses the Service, whether a member or non-member.
3. "Member" refers to a User who has created an account.
4. "Subscription" refers to paid Pro or Team plans.
5. "Credits" refers to virtual units consumed when using AI features.

3. Account Registration

1. Registration via email or social login (Google, Kakao) is required to use the Service.
2. Members must provide accurate information. The Company is not liable for issues arising from false information.
3. Each person may hold one account. Accounts may not be transferred or shared.
4. Members are responsible for securing their credentials.

4. Subscriptions and Payments

1. Free Trial: New members may receive a one-time 7-day free trial. At the end of the trial period, automatic billing begins at the selected plan rate.
2. Billing Cycle: Monthly or annual billing is available. Subscriptions auto-renew under the same terms at the end of each period.
3. Renewal Notice: A notification is sent before automatic renewal.
4. Cancellation: You may cancel anytime from the settings page. After cancellation, you retain access until the end of the current billing period.
5. Refunds: Full refunds are available within 14 days of payment if the Service has not been substantially used (including EU/UK cooling-off period). After 14 days, pro-rata refunds may apply for the remaining period.
6. Payments are processed through Polar. The Company does not store payment information directly.

5. Credits

1. Credits are consumed when using specific features such as AI OG image generation.
2. 1 credit is granted upon registration. Additional credits may be purchased separately.
3. Credits are non-transferable, non-refundable, and expire upon account deletion.

6. NFC Card Shipping and Returns

1. NFC cards are shipped within 3-7 business days of order.
2. Returns and exchanges are accepted within 7 days of delivery, in unused condition.
3. Custom-designed products cannot be returned except for manufacturing defects.
4. Shipping costs may apply depending on order conditions.

7. Intellectual Property

1. All intellectual property rights in the Service (design, software, logos, trademarks) belong to the Company.
2. Content uploaded by members (profiles, images) remains the property of the member. The Company may use such content solely for Service operation.
3. Reproduction, distribution, or reverse engineering of the Service without written consent is prohibited.

8. Prohibited Conduct

Users must not:

1. Use another person's personal information or register with false information
2. Distribute illegal content through the Service
3. Interfere with normal operation or gain unauthorized access to systems
4. Use automated tools for excessive requests or scraping
5. Engage in any activity that violates applicable laws

9. Service Modification and Suspension

1. The Company may modify or suspend the Service in whole or part for technical or operational reasons.
2. Advance notice will be provided for changes; in urgent cases, notice may be given afterward.
3. The Company is not liable for damages caused by suspension, absent willful misconduct or gross negligence.

10. Disclaimer and Limitation of Liability

1. The Service is provided "AS IS" without warranties of completeness, accuracy, or reliability.
2. Our liability is limited to the maximum extent permitted by applicable law.
3. We are not liable for interruptions caused by force majeure, network failures, or third-party service outages.

11. Dispute Resolution

1. These Terms are governed by the laws of the Republic of Korea.
2. Disputes shall be subject to the exclusive jurisdiction of the court having jurisdiction over the Company's principal place of business.
3. For international users, disputes may be resolved through international arbitration by mutual agreement.

12. Changes to These Terms

1. The Company may amend these Terms with at least 7 days' prior notice via the Service or email.
2. Users who do not agree to the amended Terms may discontinue use and delete their account.
3. Failure to object within 7 days of notice shall constitute acceptance.
